Terms of Use
These Terms of Use ("Terms") are a legally binding agreement between you ("User," "you," "your") and Voicemetrics LLC ("Company," "we," "us," or "our"). These Terms govern your access to and use of our software, which functions as an integration platform or "wrapper" for third-party services ("Services").
BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS. YOU AGREE THAT VOICEMETRICS PROVIDES THE SERVICES "AS IS" AND BEARS NO FINANCIAL OR LEGAL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM OR ANY INTEGRATED THIRD-PARTY SERVICES. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE PROHIBITED FROM USING THE SERVICES.
1. Service Description
Voicemetrics provides a Software-as-a-Service (SaaS) platform that acts as a technical wrapper or conduit. The Services facilitate API connections between third-party voice AI providers and telecommunication providers (e.g., Twilio) ("Third-Party Services"). You acknowledge that Voicemetrics does not provide the underlying voice, AI, or telecommunication functionalities. We provide the integration layer only.
2. User Accounts and Security
You are solely responsible for all activities that occur under your account. You must maintain the security of your account credentials and immediately notify us of any unauthorized use. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
3. Third-Party Services and Financial Responsibility
Your use of the Services is contingent upon your acceptance of the following conditions regarding Third-Party Services:
- User's Sole Responsibility: You are solely and exclusively responsible for creating, maintaining, and paying for your own accounts with all Third-Party Services (e.g., Twilio, voice AI backend providers). Our Services simply connect to the accounts you provide.
- Compliance with Third-Party Policies: You must, at all times, comply with the terms of service, acceptable use policies, and all other policies of any Third-Party Service you connect to our platform. A violation of any third-party policy is considered a violation of these Terms.
- FINANCIAL RISK AND MONITORING: YOU ARE SOLELY RESPONSIBLE FOR ALL COSTS, FEES, AND FINANCIAL LIABILITIES INCURRED THROUGH YOUR USE OF THIRD-PARTY SERVICES VIA OUR PLATFORM. Third-Party Service pricing can change and may be based on usage. You are obligated to actively monitor your usage and the pricing of these services. It is your responsibility to set up any available alerts or monitoring tools to prevent unexpected charges.
- NO LIABILITY FOR THIRD-PARTY CHARGES: VOICEMETRICS IS NOT A BILLING INTERMEDIARY AND HAS NO CONTROL OVER, OR LIABILITY FOR, ANY CHARGES YOU INCUR FROM THIRD-PARTY SERVICES, REGARDLESS OF WHETHER THOSE CHARGES WERE ACCIDENTAL, UNEXPECTED, OR THE RESULT OF FRAUDULENT ACTIVITY ON YOUR ACCOUNT.
4. Legal Compliance and Acceptable Use
- KYC and Regulatory Compliance: You represent and warrant that you will complete and maintain any and all "Know Your Customer" (KYC) or other identity verification processes required by any telecommunication provider or applicable law. You are solely responsible for ensuring your use of voice services is compliant with all federal, state, and international laws (e.g., TCPA, GDPR).
- Ethical Use: You shall use the Services only in a legal, ethical, and morally acceptable manner. Prohibited activities include, but are not limited to:
- Impersonating any person or entity.
- Making harassing, abusive, or unsolicited calls.
- Violating the privacy rights of any individual.
- Recourse with Third Parties: Any technical, operational, or billing issue arising from a Third-Party Service (e.g., call quality, AI response accuracy, billing disputes) must be addressed directly with that Third-Party Service provider. We have no obligation to mediate or resolve such disputes.
5. Suspension and Termination
We reserve the right to suspend or terminate your access to the Services, without notice or liability, for any reason or no reason, including but not limited to a breach of these Terms. If we suspect illegal activity, a violation of third-party policies, or a breach of ethical use standards, we may immediately terminate your account and are under no obligation to provide a refund or data export.
6. Disclaimer of all Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY GUARANTEES OR WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VOICEMETRICS LLC, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:
- DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA;
- FINANCIAL LOSSES INCURRED FROM YOUR USE OF THIRD-PARTY SERVICES;
- DAMAGES ARISING FROM YOUR INABILITY TO USE THE SERVICES;
- DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO VOICEMETRICS LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to defend, indemnify, and hold harmless Voicemetrics LLC and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of this Agreement; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your violation of any Third-Party Service's terms or policies. This indemnification obligation will survive the termination of these Terms and your use of the Services.
9. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.
10. Modifications
We may revise these Terms at any time in our sole discretion by posting the amended version on our site. Your continued use of the Services after such a change constitutes your binding acceptance of the updated Terms.
